OpenAI has entered into a memorandum of understanding with Microsoft to reassess their partnership, which includes the potential transformation of its commercial arm into a public benefit corporation (PBC).

Should regulators give their approval for this transformation, the startup will have the opportunity to attract additional funding and pursue a public offering.

Under the terms of the agreement, OpenAI’s non-profit framework will remain intact and retain control over the company’s operations. It will also acquire a stake in the PBC valued at over $100 billion. The specifics of the deal beyond this remain undisclosed.

Although the document itself is not legally binding, it outlines the intentions and expectations of both parties.

“We are actively working to finalize the contractual terms in the definitive agreement,” the companies stated in their joint announcement.

This memorandum appears to conclude months of negotiations between OpenAI and Microsoft regarding plans for the transformation of the ChatGPT developer.

As per the existing agreement, Microsoft serves as a primary investor in OpenAI, gaining preferential access to the technologies and acting as the main provider of cloud services for the startup.

However, since the initial investment in 2019, the business behind ChatGPT has seen significant growth. Over the past year, the company has secured several deals aimed at reducing dependency on Microsoft.

According to The Wall Street Journal, the company has signed a $300 billion contract with Oracle, lasting five years starting in 2027. OpenAI is also collaborating with the Japanese conglomerate SoftBank on the Stargate project.

Additionally, in August, Sam Altman announced OpenAI’s work on the new GPT-6 model following the contentious release of GPT-5.
